Agreement between Astral and Bell extended to July 31, 2013


MONTREAL, May 31, 2013 /CNW Telbec/ - Astral Media Inc. (Astral) and BCE
Inc. (Bell) today announced that, in accordance with the terms of the
transaction arrangement agreement dated March 16, 2012, as amended on
November 19, 2012 (the "Arrangement Agreement"), Bell has elected to postpone the Outside Date from June 1, 2013 to
July 31, 2013.



Originally announced on March 16, 2012, Bell's proposed $3.38-billion
transaction to acquire Astral was approved by shareholders representing
more than 99% of Astral shares and the Québec Superior Court. On March
4, 2013, Astral and Bell announced that the Competition Bureau had
cleared the acquisition of Astral by Bell.



The transaction remains subject to closing conditions, including CRTC
approval. There can be no assurance that the transaction will occur, or
that it will occur on the terms and conditions currently contemplated.

Rangemore's trading status on the OTC PINKS from 'Limited Information'
to 'Current Information'.



As previously explained in the press release of May 24(th), 2013, the filing document that was originally prepared had to be
rewritten to accurately reflect a number of corporate developments that
had occurred while the process was underway.  Management felt that it
was pointless filing outdated information as it did not accurately
reflect the current position and direction of the Company.  New
documentation is currently being prepared and management will do
everything in their power to have it filed with OTC Markets within the
next ten business days.  Management fully realizes the importance of
this and is completely committed to seeing this process through in a
timely fashion.

announced the successful candidates for its 2013 From the Ground Up program. Of the 115 applications received in the program's second year,
30 communities were selected to receive grants of up to $25,000 each.
The program's objective is to promote the greening of municipal
properties across Canada, especially areas in close proximity to rail
lines. CN, with its partners Tree Canada and Communities in Bloom, will
help Canadian municipalities establish tree planting and green space
enhancement initiatives in a sustainable, environmentally responsible
manner.

New Music Streaming Survey Shows Trends in Europe - Usage and Willingness to Pay Continue to Increase

OSLO, Norway, May 31, 2013 /PRNewswire/ --



New numbers show that willingness to pay for music streaming services continues to
increase. To a much greater extent than before, this also applies for the older
generations and not just the youth. Usage has also increased and the respondents predict
that they will use streaming services even more in one year.



The numbers are from a survey conducted by Respons Analyse for streaming service WiMP
in January, February and March this year. WiMP runs the survey continuously in its current
markets, this time Norway, Sweden, Denmark, Germany and Poland.



"It is great to see that willingness to pay continues to increase and as a broader
scope of people start using streaming services, willingness to pay also increases across
age groups. The next step for WiMP now is to offer additional services such as WiMP HiFi
with lossless streaming that we are currently beta testing," says Per Einar Dybvik, Head
of Product and Norway CEO of WiMP.



The numbers show a significant increase in willingness to pay. Sweden, who has had
access to streaming services the longest, has now been overtaken by Norway: 48% of
Norwegians now say that they are willing to pay for a music streaming service, increasing
fifteen percentage points since June 2012. Poland, only recently gaining access to
services such as WiMP, has jumped straight into second place with 40% of Poles willing to
pay for such a service. In Sweden, 35% now say yes, followed by Denmark with 30% and
Germany, where 28% now claim to be willing to pay for a music streaming service. In
addition, a large amount answer that their willingness to pay depends on the service. An
average across all five countries of only 25% say no to payment.



WiMP has conducted population surveys since June 2011 and earlier surveys showed that
willingness to pay is strongest among the youngest generation, those under the age of 30.
The new numbers show that this is about to level out: The age group 30-39 is now almost as
willing to pay as those under 30 and the gap for higher age groups decreases. This applies
in all countries.



Usage of streaming has increased in all countries, and significantly in Sweden and
Norway. In the survey from last June, over one third of Swedes stated that they listened
to music through streaming last week. Although not directly comparable, the new survey
shows that almost half of Swedes and Norwegians now listen to music through streaming
weekly or more often and in total 3 in 4 use a streaming service in Sweden, 8 in 10 in
Norway. For the other countries, the numbers show that 30% of Danes, 33% of Germans and
37% of Poles listen to music through streaming weekly or more often. For comparison, 40%
of Norwegians, 36% of Swedes, 41% of Danes, 63% of Germans and 59% of Poles listen to
music from CDs weekly or more often.



According to the respondents, the streaming trend will continue to grow in the future:
When asked about how they think they will listen to music one year from now, 58% of
Norwegians, 53% of Swedes, 37% of Danes, 41% of Germans and 45% of Poles say they will
listen to music through streaming services weekly or more often. One year from now, 39% of
Norwegians, 36% of Swedes, 41% of Danes, 61% of Germans and 65% of Poles think they will
listen to music via CDs weekly or more often.



Pop is the genre most of the respondents state as their favorite, followed by rock.
However, respondents stating rock to be their favorite genre use streaming services to a
greater extent than those who enjoy pop the most. This is especially true for Norway,
Sweden and Germany.

SANTA MONICA, Calif., May 31, 2013 /PRNewswire/ -- Entravision Communications Corporation (NYSE: EVC), a diversified Spanish-language media company, today announced it has entered into a new secured bank credit facility (the "New Facility"), consisting of a $30 million revolving credit facility and a $20 million term loan, and a $375 million delayed-draw term loan which may be drawn on a date of the company's choosing between August 1, 2013 and August 15, 2013. The New Facility replaces the company's existing $30 million revolving credit facility and $20 million term loan facility.

Entravision currently anticipates that it will use proceeds from the $375 million delayed-draw term loan to (i) repay in full the $20 million term loan under the New Facility, (ii) redeem in full all of the Company's 8.75% Senior Notes due 2017, and (iii) pay fees and expenses in connection the New Facility. The Company intends to use any future borrowings under the new revolving credit facility to, among other things, fund its working capital needs and other general corporate purposes.

Entravision's borrowings under the New Facility will bear interest on the outstanding principal amount from the date when made at a rate per annum equal to either: (i) the Base Rate (as defined in the New Facility) plus the Applicable Margin (as defined in the New Facility); or (ii) LIBOR (as defined in the New Facility) plus the Applicable Margin (provided, however, that in no event shall LIBOR with respect to the new delayed-draw term loan be less than 1.00% per annum). As defined in the New Facility, "Applicable Margin" means:

(a) with respect to the new term loans (i) if a Base Rate loan, one and one half percent (1.50%) per annum and (ii) if a LIBOR rate loan, two and one half percent (2.50%) per annum; and

(b) with respect to loans under the new revolving credit facility:

(i) for the period commencing on the closing date through the last day of the calendar month during which financial statements for the fiscal quarter ending June 30, 2013 are delivered: (A) if a Base Rate loan, one and one half percent (1.50%) per annum and (B) if a LIBOR rate loan, two and one half percent (2.50%) per annum; and

(ii) thereafter, the Applicable Margin for loans under the new revolving credit facility shall equal the applicable LIBOR margin or Base Rate margin in effect from time to time determined as set forth below based upon the applicable First Lien Net Leverage Ratio (as defined under the New Facility) then in effect pursuant to the appropriate column under the table below:

LOS ANGELES, May 31, 2013 /PRNewswire/ -- Explorer and director James Cameron and other officials will celebrate the launch of a cross-country expedition of one of the world's most remarkable pieces of technology.

On Saturday, June 1, the DEEPSEA CHALLENGER, the submersible and science platform that Cameron piloted on March 26, 2012 on a record-breaking solo dive to the bottom of the Mariana Trench, will begin its voyage from the California Science Center in Los Angeles to its permanent home at the Woods Hole Oceanographic Institution (WHOI) in Massachusetts.

The journey marks the first time the sub will be shown in public. Supported by Rolex, the trip is intended to engage and inspire children and to focus on the importance of STEM (science, technology, engineering and math) in education.

Suzy Amis Cameron, co-founder of Calabasas, CA.-based MUSE School, which is dedicated to early childhood education with a sustainable focus, will also present.

The bright green, 24-foot long DEEPSEA CHALLENGER will be on display at the California Science Center between 10:00 a.m. and 2:00 p.m. before embarking on the trip. Scientists traveling with the sub across the country will explain the remarkable human achievement of the DEEPSEA CHALLENGE expedition and the groundbreaking technology required for its success.

The DEEPSEA CHALLENGER is scheduled to arrive in Dallas on Tuesday, June 4, at the Perot Museum of Nature and Science. The sub's trek across the U.S. comes a little more than a year after Cameron's unprecedented solo dive to 35,787 feet, almost 11,000 meters (6.8 miles), to the deepest place on Earth - the Challenger Deep in the Mariana Trench - in the marine vehicle the "Avatar" and "Titanic" director and his team engineered.

The DEEPSEA CHALLENGER was specifically engineered to be the first of its kind - a vertically-deployed, manned submersible and robust science platform capable of diving to full ocean depth. The sub's ability to remain at the bottom of the Challenger Deep for nearly three hours to explore, sample and capture the first high resolution 3D images ever taken of the location, is unprecedented. In 1960, the Trieste, the only other manned submersible to reach the Challenger Deep, was able to stay only 20 minutes on the bottom before ascending.

In March, 2013, Cameron donated the sub to WHOI. Upon its arrival in Massachusetts, WHOI scientists and engineers will begin to work with Cameron and his team to incorporate the sub's numerous engineering advancements into future research platforms and deep-sea expeditions. The two-act percussive dance performance has its origins in a 2011 cross-country collaboration with the Anchorage Symphony Orchestra, but the D.C. series features new work that explores the history of Bridgetower, an Afro-Polish child prodigy and violin virtuoso who toured Europe in the early 1800s and eventually inspired Master composer Ludwig Van Beethoven to compose the famous Kreutzer Sonata.

The first act of Symphony in Step will feature music inspired by Bridgetower along with his teachers and composers, Franz Joseph Haydn and Beethoven, performed on piano, violin and drum and interpreted by Step Afrika!

The second act will feature a 15-piece chamber orchestra assembled especially for this project with professional musicians from across the D.C. area and graduate students from Catholic University's Classical Music program.

Anchorage Symphony Orchestra conductor Randall Fleischer and Step Afrika! Founder and Executive Director C. Brian Williams collaborated on the score with some original compositions developed by Fleisher while other music came from Step Afrika!'s existing repertoire. Step Afrika! Artistic Director Jakari Sherman responded with the choreography for Symphony in Step, a performance in which rhythmic footwork, body percussion and spoken word is entwined with jazz, gospel and classical masterpieces.

The biannual conference, one of the largest gatherings of Hispanic clergy, community leaders and activists in the nation, will focus on immigration reform, housing, hunger and nutrition, education, and other fundamental issues.
