ANADIGICS Announces That Its Shelf Registration Statement Has Been Declared Effective

WARREN, N.J., Feb. 2 /PRNewswire-FirstCall/ -- ANADIGICS, Inc. (NASDAQ:ANAD), today announced that its shelf registration statement on Form S-3 (File No. 333-120947) registering the resale, from time to time, by selling security holders of up to $38.0 million aggregate principal amount of the company's 5.00% Convertible Senior Notes due 2009 and the shares of the company's common stock issuable upon conversion of the notes has been declared effective by the Securities and Exchange Commission.

The registration statement, which was initially filed on December 2, 2004 and amended on January 31, 2005, was filed pursuant to the terms of a registration rights agreement entered into on September 24, 2004 in connection with the sale of the notes in a private placement under Rule 144A of the Securities Act of 1933, as amended. The company will not receive any proceeds from the resale of the notes or the shares of the company's common stock issuable upon conversion of the notes.
