Imperia Entertainment Announces Financing and Sponsors for Never Submit

BEVERLY HILLS, Calif., June 29 /PRNewswire-FirstCall/ -- Imperia Entertainment, Inc. (Pink Sheets: IPEI) announced today that it has closed its loan secured by rebate guarantees from the state of Missouri on "Never Submit," and has arrangements for product placements in the film from sponsors Title MMA, Haybusa Fight Wear, Thug Fight Wear, Sprawl Fight Short Co., Gold's Gym, and Panda Express. The company has further modified its current private placement to accredited investors to remove the convertible to common stock feature. The company now offers 120 units to accredited investors at $25,000 per unit, each consisting of a 1/2 percent equity interest in "Never Submit," a five year company non-convertible debenture, which pays interest of 5.25% per year and which pays back principal at five year maturity, secured by the company's Secured Note from Nexxus One Capital Trust of Switzerland's subsidiary, Nexxus Cayman SPV, Ltd. "We continue to seek product placement sponsors to help us make this film the best it can be," said Jeff Ritchie, Producer.
