Comprised of individuals well known in their respective fields, the board will provide Tonic with expertise and guidance while helping to raise the profile of the lifestyle company. The Advisory Board members include:

1. Chris Blackwell: Founder of Island Records and Rock and Roll Hall of
Fame inductee in 2001. Chris is credited with starting the careers of
U2, Bob Marley, Melissa Etheridge and The Cranberries.

2. Bob Ezrin: One of the most influential musical producers of all time
with a successful career spanning over 35 years. His credits include
"The Wall" by Pink Floyd and "Fade to Black" by Jay-Z. Along with The
Edge from U2, he founded Music Rising, a campaign that replaces
instruments lost in Gulf region hurricanes that Tonic founder Pankaj
Shah is also involved with.

3. Liz Heller: Former executive vice president of Capitol Records, and
founder of Buzztone, a Los Angeles based marketing firm whose clients
include Coca-Cola and FOX Television. Liz was one of the first
Hollywood executives to break into the Internet as a popular
communication medium. She also produced "The Basketball Diaries,"
starring Leonardo DiCaprio and Mark Wahlberg.

4. Jared Hoffman: President and CEO of famed nightclub venue The
Knitting Factory. With more than 5,000 live music performances each
year, The Knitting Factory is America's most prolific presenter of new
and emerging musical talent.

5. Bryan Perez: President, Live Nation Global Digital, where he oversees
the Company's digital efforts. Previously, Bryan was executive vice
president of Strategy and Business Development at Clear Channel.

6. Phil Quartararo: Former executive vice president of EMI Music North
America and president of EMI Music Marketing. One of the music
industry's most respected and diversely talented executives, Phil
previously was president of Warner Bros Records, CEO of Virgin
Records, and vice president of promotion for Island Records, where he
helped break U2 into the U.S. market.

7. Ben Schwerin: Ben was an aide to former President Clinton and then
worked with U2 on the Vertigo world tour. He currently serves as a
consultant to the Yucaipa Companies.

8. Tim Sexton: Chairman, The Sexton Company, a firm that helps companies
"do well by doing good." Highlights of his distinguished career
include executive producer, along with Bob Geldof, Richard Curtis and
Harvey Goldsmith, of Emmy-award winning "Live 8" which reached an
audience of over 3 billion people and was the largest broadband event
in history.

9. Todd Stevens: Emmy-award winning producer of "Friends" for ten years
and its spin-off "Joey." Todd is also a veteran broadband producer,
having begun producing and distributing content on MSN over four years
ago.

10. Larry Tanz: CEO of LivePlanet, the production company founded by Matt
Damon and Ben Affleck. Over the past two years, he has served as
Producer on the Emmy-nominated series "Project Greenlight" and
Producer on the feature film "Running the Sahara."
