The Annual Meeting of Stockholders of Reading International, Inc., a Nevada corporation, will be held at the Four Seasons Hotel Los Angeles at Beverly Hills, 300 South Doheny Drive, Los Angeles, California on Thursday, May 18, 2006, at 11:00 a.m., subject to adjournment or postponement, for the following purposes:

(1) To elect eight directors to the Board of Directors to serve until the
2007 Annual Meeting of Stockholders; and

(2) To transact such other business as may properly come before the
meeting, or any adjournment or postponement thereof.
