Outdoor Channel Holdings Director Adopts 10b5-1 Trading Plan
TEMECULA, Calif., Dec. 14 /PRNewswire-FirstCall/ -- Outdoor Channel Holdings, Inc. (NASDAQ:OUTD) today announced that Director Jerry Berglund entered into a pre-arranged stock trading plan to sell a portion of his company stock over time as part of his individual long-term strategies for asset diversification and liquidity.
The stock trading plan was adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934. Rule 10b5-1 allows corporate officers and directors to adopt written, pre-arranged stock trading plans when they do not have material, non-public information. Using these pre-arranged plans, insiders can gradually diversify their investment portfolios and can avoid concerns about whether they had material, non-public information when they sold their stock.
Under Berglund's Rule 10b5-1 Plan, up to a total of 76,366 of his shares may be sold from January 3, 2006 through January 3, 2007. A pre-determined number of shares will be available for sale each month under the arrangement and is subject to an escalating pricing guideline as specifically outlined in the plan. The shares to be sold will be acquired through the exercise of stock options, which options expire December 7, 2007.
Any transactions under this plan will be disclosed publicly through Form 144 and Form 4 filings with the Securities and Exchange Commission. The Form 4 filings will also be posted under the Investor Relations section of Outdoor Channel Holdings corporate website at www.outdoorchannelholdings.com.
