Photon Dynamics Appoints Curt Wozniak and Terry Carlitz to Board of Directors

SAN JOSE, Calif., Dec. 17 /PRNewswire-FirstCall/ -- Photon Dynamics, Inc. (NASDAQ:PHTN), a leading global supplier of integrated yield management solutions for the flat panel display market, has announced the appointment of Curt Wozniak and Terry Carlitz to its Board of Directors. The appointments are effective December 16, 2004. In addition to their general responsibilities as members of the board, Mr. Wozniak and Ms. Carlitz will serve on the audit and governance committees.

An industry veteran, Mr. Wozniak brings a wealth of experience to Photon Dynamics. Most recently, he served as Chairman and Chief Executive Officer of Electroglas, Inc. Appointed to the Board of Directors of Electroglas in 1994, he was named CEO in 1996 and Chairman of the Board in 1997. Immediately prior to his tenure with Electroglas, Mr. Wozniak served as President and Chief Operating Officer with Xilinx, Inc. from 1994 - 1996. Additionally, he spent 10 years with Sun Microsystems, where he assumed increasing levels of responsibility, including Vice President, Marketing and Vice President Engineering of the company's Computer Corp, and Vice President Desktop and Graphics Engineering. Mr. Wozniak holds the degrees of MBA from Stanford University Graduate School of Business and BSME from Kettering University.

In addition to his past experience serving on the Board of Directors of Electroglas, Manufacturer's Service Limited and privately-held Cascade Microtech, Mr. Wozniak is the current Chairman of the North American Advisory Board of the semiconductor capital equipment's trade association, Semiconductor Equipment and Materials International (SEMI). He has served on the Advisory Board for nine years.

Ms. Carlitz brings to Photon Dynamics over a decade of extensive experience serving on the board of directors and as the senior financial officer of public and private companies. Most recently, Ms. Carlitz served as director and Chief Financial Officer of Saba Software. Prior to her affiliation with Saba, Ms. Carlitz was the Chief Financial Officer and Senior Vice President of Operations at privately-held SPL WorldGroup B.V. and served as the Chief Financial Officer of Infinity Financial Technology, Inc. Ms. Carlitz spent eight years with Apple Computer, Inc., where she assumed increasing levels of responsibility including Director of Business Development, European Controller and Director of Corporate Planning. Ms. Carlitz currently serves on the boards of Hyperion Solutions and Advent Software, Inc. She holds the degrees of MBA from Stanford University Graduate School of Business and a BS Business Administration from San Jose State University (San Jose, CA). Ms. Carlitz also serves on the International Board of Advisors at the San Jose State University and the Management Board of Stanford University's Graduate School of Business.
