ANADIGICS Files Shelf Registration Statement on Form S-3

WARREN, N.J., Dec. 2 /PRNewswire-FirstCall/ -- ANADIGICS, Inc. (NASDAQ:ANAD), today announced that it has filed a registration statement on Form S-3 with the Securities and Exchange Commission registering the resale of up to $38.0 million aggregate principal amount of its 5.00% Convertible Senior Notes due 2009 and the shares of the Company's common stock issuable upon conversion of the notes.

The registration statement was filed pursuant to the terms of a registration rights agreement entered into on September 24, 2004 in connection with the sale of the notes in a private placement under Rule 144A of the Securities Act of 1933, as amended. The Company will not receive any proceeds from the resale of the notes or the shares of the Company's common stock issuable upon conversion of the notes.

The registration statement relating to the resale of the notes and the shares of common stock issuable upon conversion of the notes has been filed with the Securities and Exchange Commission, but has not yet become effective. When the registration statement is declared effective, it will cover the resale of the notes and the shares of common stock issuable upon conversion of the notes by the security holders listed in the prospectus.

Public resale of the notes and the shares of common stock issuable upon conversion of the notes may not be made nor may offers from the public to buy be accepted prior to the time the registration statement becomes effective.
