Block Communications, Inc. Announces Proposed Offering of Senior Notes
TOLEDO, Ohio, Dec. 5 /PRNewswire/ -- Block Communications, Inc. (the "Company") announced today that they intend to offer $150.0 million in aggregate principal amount of senior notes due 2015 (the "Senior Notes"). The Company will use the net proceeds of the offering, together with the borrowings under the new senior credit facilities, to repurchase or redeem all of their outstanding 9-1/4% Senior Subordinated Notes due 2009, the outstanding principal amount of which was $175.0 million as of September 30, 2005, to repay all of their outstanding indebtedness under their existing senior credit facilities, which was $73.5 million as of September 30, 2005, and for general corporate purposes.
The Senior Notes will be offered to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S. The Senior Notes will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
